BY-LAWS OF EMARI EASTERN DIVISION
NATIONAL SKI PATROL SYSTEM, INC.

Adopted: January 12, 2005

ARTICLE I
NAME AND ORGANIZATION
 
Section 1.1 - Name
The name of the region shall be Eastern Massachusetts and Rhode Island, from here forward known as "EMARI."

Section 1.2 - Organization and Area
EMARI (the "Region") is a geographic sub-unit of the Eastern Division, National Ski Patrol System, Inc. ("NSP"). It is a region with sections serving the interests of NSP and its constituent members.

ARTICLE II
MEMBERS
Section 2.1 - Members
All patrollers, alumni and candidates with a current NSP registration card, dues paid and active in NSP in the Region shall be Members of the Region.

Section 2.2 - Voting Members
Voting Members shall consist of members registered as an active, alpine, Nordic, or auxiliary patroller and shall have one vote. Candidate patrollers will not have the right to vote until they become registered as an active alpine, Nordic or auxiliary patroller.

ARTICLE III
ELECTIONS

Section 3.1 - Regional Director Election
Elections within the Region shall be conducted at the Fall OEC refreshers for the purpose of casting ballots for the Regional Director in the last year of the term or to fill any vacancy in the Regional Director position. Voting members shall have one vote, which must be cast at the refresher of their affiliated patrol. The annual election process shall begin with the first patrol OEC Fall Refresher within the region and conclude with the last patrol Fall OEC refresher within the region. The Regional Director's term shall commence on April 1, after the election.

Section 3.2 - Assistant Regional Director Elections
The elections for the three Assistant Regional Director positions shall be conducted at the annual fall business meeting of the region during the last year of their term or to fill a vacancy in the elected office. The Assistant Regional Directors will be elected by a majority vote of the Patrol Directors. The Regional Director will post a request for nomination for the Assistant Regional Director Vacancy on the EMARI website by June 1st of each year. The Regional Director will appoint five members of a nominee review committee to review all nominations for eligibility. The Election Committee will post all eligible nominee names, biographies, and position statements on the EMARI web page by September 1st of each year. All Assistant Regional Director Candidates will be invited to the annual business meeting to present their credentials to the patrol representatives. The Patrol Directors will vote by secret ballot for the candidate(s) of choice at the annual meeting. The Regional Director will count theballots unless he/she is running for an Assistant Regional Director position in which case an appointed member of the patrol representatives will count the votes. The Regional Director will forward the newly elected Assistant Regional Directors names to the Division Director. The Assistant Regional Director's term shall commence at the conclusion of the fall business meeting in which the nominee was elected.

Section 3.3 - Regional Election Committee
As required by Eastern Division and NSP bylaws, the Regional Director shall appoint a Regional Election Committee by June 1st. The Election committee shall consist of five members as appointed by the Regional Director. The Election Committee shall appoint a Chairman from amongst the election committee members. The committee shall receive nominations for Regional Director and any business that may require a vote. The committee shall determine the eligibility of the candidates and post the nominees names, biographies, and position statements for the Voting Members on the EMARI web page by September 1st. The committee shall supervise the balloting, secure the ballots, count the ballots and send the names of the prevailing candidates to the Regional Director. In the event of a tie, the Election Committee shall send the elections to a vote of Executive Committee Members that are not candidates within the election in question. The Election Committee shall be appointed as necessary.

ARTICLE IV
EXECUTIVE COMMITTEE AND COMMITTEES GENERALLY

Section 4.1 Executive Committee
The Executive Committee shall consist of the Regional Director, the three Assistant Regional Directors and the Patrol Director (or designee) of each Patrol of the Region. Each member of the committee shall have only one vote. It shall meet at the call of the Committee Chair, who shall be the Regional Director, or at the request of any three Members of the Committee. The Committee must meet once a year prior to the first patrol refresher. The Committee shall exercise all powers of the Members between meetings including the power to fill vacant elective offices temporarily, but the Committee shall have no power to elect officers to a full term.

Section 4.2 Other Committees
The Executive Committee may create other regular or special committees, the members of which shall be filled by the Regional Director. The Regional Director shall appoint one such Member as chair. Committees may be dissolved in the same manner.

Section 4.3 Quorum of Executive Committee
A quorum of the Executive committee will consist of a simple majority of the executive committee.

ARTICLE V
OFFICERS
Section 5.1 - Eligibility
Officers shall meet and maintain the eligibility requirements contained in the Eastern Division By-Laws in effect at the time of selection.

Section 5.2 - Regional Director
The Regional Director shall be elected by the Voting Members and shall serve for a term of two years. The Regional Director shall supervise the affairs of the Region, shall preside at Executive Committee meetings and shall perform such other duties as may be given him/her at any annual or special meeting by a majority vote of the Executive Committee Members present. The Regional Director shall hold no other elective office in NSP.

Section 5.3 - Assistant Regional Directors:
There shall be as many Assistant Regional Directors (Regional Delegates), as designated in the Eastern Division Bylaws, who shall be elected for a two-year term in alternate years. The Assistant Regional Directors shall perform such duties as assigned by the Regional Director. The Assistant Regional Directors shall have a vote in all region and Eastern Division matters as provided by these by-laws and the Eastern Division By-Laws. The Assistant Regional Directors shall hold no other elective office in NSP.

Section 5.4 Alternate Regional Director:
The Regional Director shall identify one Alternate Regional Director who shall have the power granted by the Eastern Division By-laws including the power to serve as Regional Director in the absence of Regional Director. A two-thirds vote by the Executive Committee is needed for final appointment of the Alternate Regional Director. In the absence of the Regional Director, the Alternate Region Director shall have a vote in all Region and Division matters as provided by these By-laws and the Division By-laws.

Section 5.5 - Other Region Officers
Following the installation of the Regional Director, such Director may appoint or remove additional officers as may be necessary to fulfill Region responsibilities including, but not limited to, Treasurer and Secretary. These officers shall have no voting privileges.

Section 5.6 - Advisors
The Regional Director may appoint or remove advisors. These individuals will advise and report to the Regional Director as may be necessary or desirable. These advisors must comply with any direction established by the associated Eastern Division. These advisors shall have no voting privileges.

Section 5.7 - Removal of an Officer
Removal of the Regional Director shall be in accordance with the NSP policies & procedures manual. The Assistant Regional Directors and other officers may be removed by a vote of two-thirds of the Executive Committee members present at a meeting called for the purpose of removal.

Section 5.8 - Vacancy
If, for any reason, an Assistant Regional Director position becomes vacant, the patrol representatives of the executive committee shall exercise their right to appoint a replacement to fill such vacancy as established in section 4.1 of these by-laws.

If, for any reason, the Regional Director position becomes vacant, the Alternate Regional Director shall serve in the capacity of Regional Director for the remainder of the elected term in accordance with Eastern Division Bylaws.

Section 5.9 - Qualification of Regional Director, Assistant Regional Directors and Alternate Regional Director
These officers shall have the qualifications shown in the Eastern Division By-laws.

ARTICLE VI
CONSTRUCTION

Nothing in these By-Laws shall conflict with the By-Laws or policies of the Eastern Division or NSP, and they shall be construed in all cases to be compatible with such other by-laws. A section of these By-Laws found to be incompatible shall not have the effect of invalidating the remaining By-Laws.

ARTICLE VII
DISSOLUTION

Upon dissolution of the Region for any reason, the funds and property in the hands of the Region shall be distributed per capita (by Members) to the patrols comprising the EMARI Region at such time. In the absence of a patrol, such funds and property shall be distributed to the Eastern Division NSP.

ARTICLE VIII
AMENDMENT

Proposed amendments to these By-Laws shall be submitted in writing to the Regional Director at least 90 days prior to the meeting at which action on such amendments are to be taken. The Regional Director shall transmit the proposal amendments to the Executive Committee at least 60 days prior to such meeting. The affirmative vote of two-thirds of all the voting members of the Executive Committee shall be required to move an amendment to the next available ballot. Notice of the pendency of such amendments shall be given to the Executive Committee Members at least 30 days prior to the next available ballot at an Executive Committee meeting considering such amendments.
